According to a CNet page I found:
http://reviews.cnet.com/4520-10163_7-6279061-6.html
./mencoder -ovc raw -ofps 15 -nosound -vf \
scale=160:-2,expand=160:128,format=bgr24 YourVideoNameHere -o movie.avi
./2bppconv movie.avi FinalMovieName.avi
I'm not sure why they have "nosound" in there. Maybe replace that
with "-oac faac"? And I don't know what the 2bppconv does.
Here's a mencoder mailing list thread:
http://lists.mplayerhq.hu/pipermail/mencoder-users/2005-December/thread.html#2530
Here's a thread on encoding H.264 with ffmpeg:

Apple's ipod tech specs page:
http://www.apple.com/ipod/specs.html
They say the audio formats the ipod supports are: AAC (16 to 320
Kbps), Protected AAC (from iTunes Store), MP3 (16 to 320 Kbps), MP3
VBR, Audible (formats 2, 3 and 4), Apple Lossless, AIFF and WAV
Video formats supported are: H.264 video, up to 1.5 Mbps, 640 by 480
pixels, 30 frames per sec., Low-Complexity version of the H.264
Baseline Profile with AAC-LC audio up to 160 Kbps, 48 kHz, stereo
audio in .m4v, .mp4, and .mov file formats; H.264 video, up to 768
Kbps, 320 by 240 pixels, 30 frames per sec., Baseline Profile up to
Level 1.3 with AAC-LC audio up to 160 Kbps, 48 kHz, stereo audio in
.m4v, .mp4, and .mov file formats; MPEG-4 video, up to 2.5 Mbps, 640
by 480 pixels, 30 frames per sec., Simple Profile with AAC-LC audio up
to 160 Kbps, 48 kHz, stereo audio in .m4v, .mp4, and .mov file formats
Get cuddly with mplayer and mencoder.
