I would suspect that this may be real.  Since Vista has been released, some
of the smaller manufacturers blow out their old versions instead of return
them to Microsoft.  Of course, that said, I would do some serious research
into the company that you are buying from.  If this is the real deal, then I
wouldn't see any problems with running it in Parallels.
